| Oceaneering
Successfully Installs Ocean Legend |
March 26, 2001--
Oceaneering International successfully installed the Mobile Offshore Production
Facility, Ocean Legend, in 150-feet of water in WA-1-P on the North West
Shelf offshore Western Australia. Oceaneering owns the Ocean Legend and will
operate the unit under a service agreement with Woodside Energy Ltd. on behalf
of a joint venture comprising Woodside, Apache Northwest Pty. Ltd., and Santos
Ltd. The contract's primary term is for three years commencing at first
oil.
Completely refurbished
and converted in 10 months last year from the former jackup Marine 7, the
Ocean Legend recently was transported from the Gulf of Mexico around the
Cape of Good Hope to Dampier Harbor, Australia, on the heavy-lift vessel
Transhelf. After offloading, Ocean Legend was wet-towed 62-miles to the Legendre
oil fields and jacked-up on location. First oil is anticipated before mid-year.
The Ocean Legend has production equipment capable of stabilizing and processing
50,000 b/d of oil, treating and cleaning 60,000 b/d of water and reinjecting
40 MMcf/d of gas. See:

| Shell's
Hostile Bid For Barrett Latest US Headache |
New York, Reuters
3-23-01-- Royal Dutch/Shell is no stranger to headaches - having faced militant
opposition in Nigeria, trucker blockades in Britain, and environmental protests
in Germany in recent years. But some of the oil major's biggest frustrations
have lately cropped up in the United States, where earlier this month it
had to launch a hostile takeover for little-known Barrett Resources Corp.
"They have always
had problems in the United States." Fahnestock & Co. analyst Fadel Gheit
said of the Anglo-Dutch oil company. "A few years ago they went on a major
restructuring because the guys in Europe weren't happy with the U.S. business,"
added Gheit. "I'm still not sure they know what they are doing." Complete

| Sonsub
Completes First Diverless Tie-in For Shell Expro |
March 26, 2001--
Sonsub's Diverless Flowline Connection System (DFCS) successfully completed
a 6-inch flexible flowline tie-in on the Osprey P8 wellhead for Shell UK
Exploration and Production in the North Sea. This operation was a first of
a kind for Shell Expro since divers have completed all previous flexible
tie-ins. By utilizing Sonsub's work class ROV-operated DFCS, Shell was able
to realize considerable cost savings by allowing the system to be operated
from the S 712 drilling rig during operations.
The alternative,
using a diving support vessel, would have been considerably more expensive
and much more weather dependent. Additional expenses were saved due to reduced
interfaces onto Shell's permanent hardware, which impacted the flowbase
design/fabrication costs. As a result, Shell Expro has now selected DFCS
interfaces as a standard for future flowbases requiring diverless flexible
flowline tie-in operations. Sonsub is a Saipem Group company. For the complete
