Subsidiary Houston Geoscan Inc |
ECL (Exploration
Consultants Group PLC) are pleased to announce the acquisition of the entire
share capital of Energy Innovations Limited and its USA Subsidiary (Energy
Innovations/Houston Geoscan Inc) effective from December 27th 2001.
ECL (established
in 1969) is an employee owned, broad based International firm of Exploration
and Production consultants, based in Henley on Thames, England with offices
in Australia, Canada and the USA. ECL provides Quality Assurance of Seismic
Data Acquisition, Positioning & Processing, Survey Design & Modelling
Services in addition to Survey Engineering, Cable Laying and HSE services.
ECL's Geoscience Division provides Geological and Geophysical Modelling &
Interpretation, Basin Studies, Production Technology & Reservoir Engineering,
Field Development & Project Management services in addition to Due Diligence
and Asset Valuation services.
The field services
division provides Wellsite and Operations Geology, Sample Studies and Wireline
Logging supervision together with the preparation of Composite Logs &
Final Well Reports. ECL is fully supported by industry standard software
application systems and has its own advanced proprietary software for Seismic
Operations. The group also provides a comprehensive range of training courses
covering various aspects of exploration and production services.
Energy Innovations
Limited (EIL) is a geophysical consultancy established in 1996. EIL provides
Quality Control and Quality Assurance on Seismic crews worldwide and has
a reputation for high technical standards. EIL also provides navigation
processing QC services, technical audits, seismic data processing QC, survey
planning and associated activities. EIL has offices in the UK and also in
Houston, Texas, which trades under the names of HGI (Houston Geoscan Inc).
HGI was founded in 1988 as a Seismic QC company, and was merged with Energy
Innovations Limited in late 1999.
It is the aim of
our acquisition to expand and enhance ECL's Geophysical and Navigation QC
Services to all our clients. The expanded company will benefit from a more
streamlined organization, complemented by a broader base of personnel and
experience. After this acquisition all existing EIL services will be available
to our clients through ECL's established offices in Houston (USA), Calgary
(Canada), Perth (Australia), and Henley in England (our Head Office). The
Combined Group employs around 115 full time staff and over 200 Consultants
on Field Operations and QC Services.

Purchases Majority Share Of Telenav Electronics Pte Ltd |
RESON is
pleased to announce the acquisition of a majority share of Telenav Electronics
Pte Ltd in December 2001. The new organization, RESON-Telenav Electronics
Pte Ltd, will serve as RESON's regional hub office in Southeast Asia
for support and training.
Telenav Electronics
Pte Ltd is located in Singapore and was founded in 1996 by Jacob van Oostrom
and a local partner. Mr. van Oostrom has over 20 years experience in the
marine industry having risen in rank from Radio Officer to Sales and Marketing
Manager. In line with RESON's focus on the global marketplace, Mr. van Oostrom
is truly an international entrepreneur with marine industry experience in
The Netherlands, Hong Kong, China, and Singapore. He will continue to serve
as Managing Director of RESON-Telenav.
RESON-Telenav is
active in the dredging, offshore, hydrographic, marine, and defense industries
of Southeast Asia. The company began its relationship with RESON in 1997
when it was appointed an exclusive agent for RESON. At that point Telenav
began promoting the RESON product line resulting in sales of six complete
SeaBat Multibeam Echosounder systems to the Maritime and Port Authority of
Singapore, Fugro Geodetic, Penta Ocean, and others.

Safely Completes Banjo & Seahawk Installation Activities |
Houston
(January 3, 2002): Sonsub is pleased to report that it has recently completed
offshore activities for Coflexip Stena Offshore Inc.'s (CSOI is an affiliate
of the Technip-Coflexip Group) Banjo & Seahawk project located in the
Gulf of Mexico in the East Breaks area.
Sonsub Inc. has
worked an excess of 29,700 man hours on the Banjo & Seahawk project,
and as of the third quarter for 2001, completed 320,667 man hours offshore,
without a lost time, recordable or safety incident.
Sonsub's HOS Innovator
spread consisting of the DP II HOS Innovator vessel and the INNOVATOR®
09 ROV provided assistance for this project in two campaigns. Phase I, which
took place in July and August of 2001, consisted of installing 58 concrete
mats at six offshore crossing locations. Phase II, which involved working
together with CSOI's Pipelay vessel the CSO Deep Blue during most of September
and October of 2001, included assisting with setting initiation anchors and
acoustic arrays as well as completing grid surveys, monitoring pipeline
touchdown, and completing pipeline As-built surveys. Other tasks included
inspecting pipeline pre-route surveys, cutting initiation anchor launching
cable, disconnecting initiation wires, ROV assistance during setting PLEM's
and PLET's, as well as Engineering for the crossing installation operation.

Offshore Announces Purchase Of 'Midnight Express' Smit International
Vessel |
NEW
ORLEANS--(BUSINESS WIRE)--Jan. 9, 2002--Torch Offshore, Inc. (NASDAQ:TORC),
an offshore construction and pipelay company serving the oil and gas industry,
announced today that it has entered into an agreement for the purchase of
the Smit Express, a 520-foot vessel, from Smit International for $9.75 million.
The vessel will be converted to a DP-2 offshore construction vessel and renamed
the Midnight Express.
Delivery of the
Midnight Express to the US Gulf of Mexico is expected within the next three
months, with the conversion to begin shortly thereafter. Concurrent with
the purchase and conversion of the Midnight Express, Torch Offshore continues
to negotiate contracts for the fabrication of our patented lay system as
well as for the purchase of other necessary installation equipment. Full
integration of the equipment, the lay system and the vessel, followed by
sea trials, is scheduled for mid-2003.
Concurrent with
the decision to purchase the Midnight Express, the construction of the Midnight
Warrior is being deferred. Although the Midnight Warrior remains an economically
viable option, deferring the Midnight Warrior, a new build DP-2 vessel, in
favor of converting an existing vessel to DP-2 with greater pipe lay
capabilities, is expected to result in significant capital cost savings and
to save a year on the delivery timetable.
Torch Offshore

to meeting our long-term strategic goal of entering the deep and ultra-deep

AUV Modems Contribute To C&C Technologies' Success |
San Diego,
California - LinkQuest Inc.'s high-speed acoustic modems made impressive
contribution to the success of commercial surveys conducted by C&C
Technologies' Hugin3000 survey AUV, according to Dr. Ning Xiao, head of
LinkQuest's technical marketing.
Using acoustic
modem to monitor status of the AUV and upload images from sensors continuously
for very large amount of data is an uncharted territory. Nevertheless, LinkQuest
4010 deepwater modems performed flawlessly after initial fine tuning and
modification, thanks to the technical expertise and cooperation from C&C
Technologies and Konsberg Simrad. Simultaneous real time monitoring of AUV
multibeam, side scan sonar, and subbottom profiler has proven to be very
beneficial from a quality assurance standpoint. Based on this feedback, real
time adjustments can be made such as changing swath width, AUV height, pulse
length or the survey route.
